Tdreeb

The use of the website(s) and application provided by tdreeb, hereinafter “tdreeb Products”, is subject to the following terms and conditions, hereinafter “Terms and Conditions”:

1. Your acknowledgment of the terms and conditions of use

By accessing the tdreeb Products, you, the user, acknowledge and confirm that you have read, understood and agree to the following terms and conditions of use. Furthermore, you agree to be bound by all applicable laws as well as any other applicable rules and conditions. If you do not understand or agree with these terms and conditions you must stop accessing and using the tdreeb Products.

2. Scope of right to use

All text footage, pictures, graphics, software, applications, sound samples, animations videos, corporate logos and brands, the layout of the tdreeb Products, as well as other content contained in the tdreeb Products, hereinafter jointly referred to as “tdreeb Products Content”, are protected by trademark and copyright law and other laws for the protection of intellectual property and may be subject to third parties’ rights.

tdreeb does not grant any license rights or other rights regarding the use of the intellectual property rights in the tdreeb Products Content, unless otherwise specified herein. The copying, distributing, reproducing, forwarding, otherwise using of these intellectual property rights in the tdreeb Products or the tdreeb Products Content including the making available to third parties is not permitted without the prior written consent of tdreeb.

The user is only permitted to view and use the tdreeb Products Content for his own personal, non-commercial use as part of his use of the tdreeb Products. The user is also permitted to produce a single copy of the tdreeb Products for his personal, non-commercial use, on the condition that the content is not altered in the course of copying and all references to intellectual property rights are retained in the copy, or inserted if only extracts from the tdreeb Products are used.

Access to or use of the tdreeb Products or the tdreeb Products Content from countries, where this access or this use is unlawful, is not permitted. In this case, and if the user wants to enter into business relations with tdreeb, the user should contact representatives of tdreeb in United Arab Emirates.

Any other use of the tdreeb Products as well as the tdreeb Products Content is prohibited unless specifically permitted by these Terms and Conditions.

3. Restrictions of Use

The user must not, without the prior written consent of tdreeb;

Minors under the age of 18 are prohibited to register as users unless they are registered by their parents or a responsible person above 18;
use the tdreeb Products or the tdreeb Products Content for any fraudulent or unlawful purpose;
use any registered or unregistered trademarks or signs on the tdreeb Products or in the tdreeb Products Content without the prior written consent of the respective owner;
translate, modify, adapt, reverse engineer, decompile or disassemble the tdreeb Products or tdreeb Products Content in whole or in part;
remove any notice of copyright, trademark, or other proprietary rights from the tdreeb Products Content;
frame or otherwise embed tdreeb Products Content in your or a thirdparty website;
mirror any part of the tdreeb Products;
create a database by systematically storing and downloading all or any tdreeb Products Content; or
use any robot, spider, site search application or retrieval application or other manual or automatic device to retrieve, index, “scrape,” “data mine” or in any way reproduce or circumvent the navigational structure or presentation of the tdreeb Products or the tdreeb Products Content;
post content or items in inappropriate categories or areas on tdreeb products;
infringe any laws, third party rights or our policies;
fail to deliver payment for services delivered to you;
transfer your tdreeb account (including feedback) and Username to another party without our consent;
tdreeb reserves the right to deny access to the tdreeb Products at any time.

4. Content Enrollment and Lifetime Access of courses

When you enroll in a course or other content, you get a license from us to view it via the tdreeb services and no other use. Don’t try to transfer or resell content in any way. We generally grant you a lifetime access license, except when we must disable the content because of legal or policy reasons or for enrollments via Subscription Plans.
Under our Trainers Terms, when trainers publish content on tdreeb Products, they grant tdreeb a license to offer a license to the content to trainees. This means that we have the right to sublicense the content to enrolled trainees. As a trainee, when you enroll in a course or other content, whether it’s free or paid content, you are getting a license from tdreeb to view the content via the tdreeb Products platform and services, and tdreeb is the licensor of record. Content is licensed, and not sold, to you. This license does not give you any right to resell the content in any manner (including by sharing account information with a purchaser or illegally downloading the content and sharing it on torrent sites).
In legal, more complete terms, tdreeb grants you (as a trainee) a limited, non-exclusive, non-transferable license to access and view the content for which you have paid all required fees, solely for your personal, non-commercial, educational purposes through the services, in accordance with these Terms and any conditions or restrictions associated with the particular content or feature of our services. All other uses are expressly prohibited. You may not reproduce, redistribute, transmit, assign, sell, broadcast, rent, share, lend, modify, adapt, edit, create derivative works of, sublicense, or otherwise transfer or use any content unless we give you explicit permission to do so in a written agreement signed by a tdreeb authorized representative. This also applies to content you can access via any of our APIs.
We generally give a lifetime access license to our trainees when they enroll in a course or other content. However, we reserve the right to revoke any license to access and use any content at any point in time in the event where we decide or are obligated to disable access to the content due to legal or policy reasons, for example, if the course or other content you enrolled in is the object of a copyright complaint, or if we determine it violates our Trust & Safety Guidelines. This lifetime access license does not apply to enrollments via subscription plans or to add-on features and services associated with the course or other content you enroll in. For example, trainers may decide at any time to no longer provide teaching assistance or Q&A services in association with the content. To be clear, the lifetime access is to the course content but not to the trainer.
Trainers may not grant licenses to their content to trainees directly, and any such direct license shall be null and void and a violation of these Terms.

5. Content and Behavior Rules

You can only use tdreeb Products for lawful purposes. You’re responsible for all the content that you post on our platform. You should keep the reviews, questions, posts, courses and other content you upload in line with our Trust & Safety Guidelines and the law, and respect the intellectual property rights of others. We can ban your account for repeated or major offenses. If you think someone is infringing your copyright on our platform, let us know.
You may not access or use the services or create an account for unlawful purposes. Your use of the services and behavior on our platform must comply with applicable local or national laws or regulations of your country. You are solely responsible for the knowledge of and compliance with such laws and regulations that are applicable to you.
If you are a trainer, you can submit content for publication on the platform. In such case, you must abide by the law and respect the rights of others: you cannot post any course, question, answer, review or other content that violates applicable local or national laws or regulations of your country. You are solely responsible for any courses, content, and actions you post or take via the platform and services and their consequences. Make sure you understand all the copyright restrictions set forth in the Trainer Terms before you submit any content for publication on Udemy.
If we are put on notice that your course or content violates the law or the rights of others (for example, if it is established that it violates intellectual property or image rights of others, or is about an illegal activity), if we discover that your content or behavior violates our Trust & Safety Guidelines, or if we believe your content or behavior is unlawful, inappropriate, or objectionable (for example if you impersonate someone else), we may remove your content from our platform. tdreeb complies with copyright laws.
If a user has published content that infringes your copyright or trademark rights, please let us know. Our Trainer Terms require our trainers to follow the law and respect the intellectual property rights of others.

6. tdreeb’s Rights to Content You Post

You retain ownership of content you post to our platform, including your courses. We’re allowed to share your content to anyone through any media, including promoting it via advertising on other websites.
The content you post as a trainee or trainer (including courses) remains yours. By posting courses and other content, you allow tdreeb to reuse and share it but you do not lose any ownership rights you may have over your content.
When you post content, comments, questions, reviews, and when you submit to us ideas and suggestions for new features or improvements, you authorize Udemy to use and share this content with anyone, distribute it and promote it on any platform and in any media, and to make modifications or edits to it as we see fit.
In legal language, by submitting or posting content on or through the platforms, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute your content (including your name and image) in any and all media or distribution methods (existing now or later developed). This includes making your content available to other companies, organizations, or individuals who partner with tdreeb for the syndication, broadcast, distribution, or publication of content on other media, as well as using your content for marketing purposes. You also waive any rights of privacy, publicity, or other rights of a similar nature applicable to all these uses, to the extent permissible under applicable law. You represent and warrant that you have all the rights, power, and authority necessary to authorize us to use any content that you submit. You also agree to all such uses of your content with no compensation paid to you.

7. Privacy

All personal data is collected, stored, processed and used in accordance with applicable data protection laws, the tdreeb Privacy Policy and the tdreeb Cookie Policy.
We use your information as described in the tdreeb Privacy Policy. If you object to your information being transferred or used in this way then you must not use our services. For the avoidance of doubt, your name and personal details shall be used for identity purposes in the normal course of conducting business in this online marketplace. This may include on invoices and purchase orders including but not limited to between transacting parties, including those automatically generated on awarding, accepting and payment.

You authorise us, directly or through third parties, to make any inquiries we consider necessary to validate your identity. You must, at our request: (1) provide further information to us, which may include your date of birth and or other information that will allow us to reasonably identify you; (2) take steps to confirm ownership of your email address or financial instruments; or (3) verify your information against third party databases or through other sources.
You must also, at our request, provide copies of identification documents (such as your passport or driver's licence or Emirates ID). We may also ask you to provide photographic identification holding your identification together with a sign with a code that we provide as an additional identity verification step. We also reserve the right to request a video interview with you to validate this information, your identity, your background and your skills.
We reserve the right to close, suspend, or limit access to your account at tdreeb products in the event we are unable to obtain or verify to our satisfaction the information which we request under this section.
If you are not Verified by tdreeb you may not be able to withdraw funds from your tdreeb account, and other restrictions may apply.

8. Feedback, Reputation and Reviews

You acknowledge that you transfer copyright of any feedback, reputation or reviews you leave consisting of comments and any rating(s) (e.g. quality, communication etc.) together with any composite rating by us. You acknowledge that such feedback, reputation and reviews belong solely to us, notwithstanding that we permit you to use it on our tdreeb Products while you remain a user. You must not use, or deal with, such feedback, reputation and reviews in any way inconsistent with our policies as posted on the Website from time to time without our prior written permission.
You may not do (or omit to do) anything that may undermine the integrity of the tdreeb feedback system. We are entitled to suspend or terminate your account at any time if we, in our sole and absolute discretion, are concerned by any feedback about you, or your feedback rating, where we believe our feedback system may be subverted.
Our feedback ratings belong to us and may not be used for any purpose other than facilitating the provision of trainer services via the tdreeb Products. You may not use your trainer or trainee feedback (including, but not limited to, marketing or exporting your any or all of your composite rating(s) or feedback comments) in any real or virtual venue other than a website or application operated by tdreeb or its related entities, without our written permission.

9. Special Provisions for services and location based services

Each User acknowledges:
tdreeb Products provides matchmaking and platform services only. users agree that tdreeb has no liability for any other aspect of service delivery or interaction between trainee and trainer. tdreeb is not a party to any disputes between trainee and trainer, although we provide a dispute resolution mechanism to assist the parties in resolving issues;
tdreeb has from time to time include map features and tdreeb may display the location of trainee or trainer to persons browsing tdreeb Products on that map. Every trainee seeking services will be asked to provide the location where the service is to be performed. You expressly agree that tdreeb has no liability for displaying such information.
A user must never disclose, in any posted service, personal details such as the user's name, street number, phone number or the email address in any service description for all services or in any other public communication on the tdreeb Products (these may be disclosed for services as required in private direct messages);
tdreeb may collect location related data from you via technologies including but not limited to GPS, IP address location, wifi, and by other methods. This data may be shared in the context of facilitating services and each user specifically consents to this collection and sharing as part of this agreement;

10. No Warranties

tdreeb does not give any express or implied warranties, nor does it make any representations, nor does it assume any responsibility that:

the tdreeb Products or the tdreeb Products Content are available without interruption;
the use of the tdreeb Products or the tdreeb Products Content will not infringe any third-party rights;
the tdreeb Products as well as the tdreeb Products Content are free from errors or are complete, accurate or up to date always;
other web pages accessed by hyperlinks from the tdreeb Products, irrespective of whether these belong to affiliated companies of tdreeb or third parties, do not infringe third party rights, or are free from errors, or that applicable data protection provisions are complied with; or that
the tdreeb Products is free from viruses, bugs, malware, or similar malicious programs. Any forward-looking statements made on the tdreeb Products are based on the beliefs and judgement of the management of tdreeb at the time of their publication and are therefore subject to risks and uncertainties. No assurance is given that these forward-looking statements will prove to be accurate and complete. tdreeb is under no obligation towards the user to update such forward-looking statements and accepts no liability whatsoever for these statements.

11. Limitation of Liability

tdreeb does not accept any liability for:

defects in rights regarding the tdreeb Products or tdreeb Products Content;
any loss or damage arising as a result of inhibited access or non-accessibility of the tdreeb Products as well as tdreeb Products Content;
any loss or damage, which may arise from the use of the tdreeb Products or of any of the tdreeb Products Content; or
the availability of the content of third-party websites or any loss or damage resulting from their use, regardless of the purpose of use; whereas tdreeb does not limit its liability under statutory law for the violation of life, body or health caused by willful intent or gross negligence of tdreeb or its representatives. The tdreeb Products and the tdreeb Products Content are operated and managed by tdreeb and / or other members of tdreeb Portal establishment. Save the provisions herein, the tdreeb Products and the tdreeb Products Content consider the requirements of the country, in which the tdreeb establishment in charge is based. tdreeb accepts no responsibility if (i) the tdreeb Products is accessed, or (ii) if the tdreeb Products Content is used or downloaded from the tdreeb Products, in places outside the concerned country. When the user accesses the tdreeb Products from places outside the concerned country, the user is solely responsible for complying with the regulations that apply in accordance with their respective national laws.

12. Limits & Fraud Prevention

We reserve the right to suspend a user withdrawal request if the source of the funds is suspected to be fraudulent.
If we become aware that any funds received into an account from another account as a result of a fraudulent transaction, this will be reversed immediately. If those funds have already been released to you, you must pay the funds into your account. If you do not do so, we may suspend, limit or cancel your account, or take action against you to recover those funds.
We may, in our sole discretion, place a limit on any or all of the funds in your account (thereby preventing any use of the funds) if:
we believe there may be an unacceptable level of risk associated with you, your account, or any or all of your transactions, including if we believe that there is a risk that such funds will be subject to reversal or chargeback;
we believe that the beneficiary of the payment is someone other than you;
we believe that the payment is being made to a country where we do not offer our Service; or
we are required to do so by law or applicable law enforcement agencies.
If you are involved in a dispute, we may (in certain circumstances) place a temporary limit on the funds in your account to cover the amount of any potential liability. If the dispute is resolved in your favour, we will lift the limit on your funds and those funds may be released to you. If the dispute is not resolved in your favour, we may remove the funds from your account. We may also place a limit on your account in circumstances where we suspect you of fraudulent or other unacceptable behaviour, while we investigate any such matter.

13. Amendments to the tdreeb Products or the tdreeb Products Content or Terms and Conditions

tdreeb reserves the right, at any time and without prior notice, to make amendments or additions, to the tdreeb Products or the tdreeb Products Content. tdreeb reserves the right to change these terms and conditions of use from time to time at its sole discretion without any obligation to inform the user. The user agrees that his continued use of the tdreeb Products constitutes his consent to respective changes of the terms and conditions as applicable.

14. Violation of these Terms and Conditions

tdreeb reserves the right to deny the user’s access to the tdreeb Products in whole or in part at any time in case of the user’s non-compliance with these Terms and Conditions or the user’s infringement of the rights of tdreeb in the tdreeb Products or the tdreeb Products Content or any third parties’ rights.

Furthermore, the user herewith indemnifies and holds harmless tdreeb from and against all claims and demands arising out of or in connection with (i) the use of, or activities in connection with, the tdreeb Products and tdreeb Products Content, or (ii) any violation of these Terms and Conditions by the user.

15. Indemnity

You will indemnify us (and our officers, directors, agents, subsidiaries, joint venturers and employees) against any claim or demand, including legal fees and costs, made against us by any third party due to or arising out of your breach of this Agreement, or your infringement of any law or the rights of a third party in the course of using the tdreeb Products.

In addition, we can apply any funds in your Account against any liabilities you owe to us or loss suffered by us as a result of your non-performance or breach of this User Agreement.

16. Security

You must immediately notify us upon becoming aware of any unauthorised access or any other security breach to the tdreeb Products, your account or the tdreeb Products services and do everything possible to mitigate the unauthorized access or security breach (including preserving evidence and notifying appropriate authorities). Your user account is yours only, and you must not share your password with others. You are solely responsible for securing your password. We will not be liable for any loss or damage arising from unauthorized access of your account resulting from your failure to secure your password.

17. Applicable Law

Any dispute or claim arising out of or in connection with tdreeb Products or tdreeb Products Content shall be governed and construed in accordance with the laws of UAE.

United Arab of Emirates is our country of domicile. tdreeb does not commit to participate in alternative dispute resolution procedures in front of an alternative dispute resolution entity to resolve disputes with consumers.

18. Payments and Transactions

You agree to pay the fees for content and services that you purchase, and you authorize us to charge your debit or credit card or process other means of payment for those fees. tdreeb works with payment service providers to offer you the most convenient payment methods in your country and to keep your payment information secure. We may update your payment methods using information provided by our payment service providers. Check out our Privacy Policy for more details.

When you make a payment, you agree to use a valid payment method. When you make a purchase, you agree not to use an invalid or unauthorized payment method. If your payment method fails and you still get access to the content you are enrolling in, you agree to pay us the corresponding fees within thirty (30) days of notification from us. We reserve the right to disable access to any content for which we have not received adequate payment.

Minors under the age of 18 are not allowed to pay or transact in tdreeb Products or tdreeb Products Content. If you make a payment for our products or services in tdreeb Products, the details you are asked to submit will be provided directly to our payment provider via a secured connection.

The cardholder must retain a copy of transaction records and Merchant policies and rules. We accept payments online using Visa and MasterCard credit/debit card in AED.

19. Pricing

The prices of content and services on tdreeb Products are determined based on the terms of the Trainers Terms and our Promotions Policy.

We occasionally run promotions and sales for our content, during which certain content is available at discounted prices for a set period of time. The price applicable to the content will be the price at the time you complete your purchase of the content (at checkout). Any price offered for particular content may also be different when you are logged into your account from the price available to users who aren’t registered or logged in, because some of our promotions are available only to new users.

If you are logged into your account, the listed currency you see is based on your location when you created your account. If you are not logged into your account, the price currency is based on the country where you are located. We do not enable users to see pricing in other currencies.

If you are a trainer located in a country where use and sales tax, goods and services tax, or value added tax is applicable to consumer sales, we are responsible for collecting and remitting that tax to the proper tax authorities. Depending on your location, the price you see may include such taxes, or tax may be added at checkout.

20. Advertising

Unless otherwise agreed with us, you must not advertise an external website, product or service on tdreeb products.

We may display advertisements or promotions on the Website. You acknowledge and agree that we shall not be responsible for any loss or damage of any kind incurred by you as a result of the presence of such advertisements or promotions or any subsequent dealings with third parties. Furthermore, you acknowledge and agree that content of any advertisements or promotions may be protected by copyrights, trademarks, service marks, patents or other intellectual property or proprietary rights and laws. Unless expressly authorized by tdreeb or third party right holders, you agree not to modify, sell, distribute, appropriate or create derivative works based on such advertisement/promotions.
